PilotLedger Terms of Service

1. Platform Description
PilotLedger is a SaaS business management platform for commercial drone service providers. PilotLedger provides tools for quoting, invoicing, expense tracking, payment processing, client management, and public directory listing.
PilotLedger is NOT a broker, staffing agency, referral service, employment agency, or middleman. PilotLedger does not take commissions on pilot-client transactions. Pilots are independent business operators; PilotLedger provides tools only.
PilotLedger is owned and operated by Drones Inbound LLC, Springdale, Arkansas.
2. Definitions
- "Platform" means PilotLedger and all related services.
- "User," "You," "Pilot" means the registered account holder.
- "Client" means a third party who receives quotes, invoices, or services from a User.
- "Content" means data, files, quotes, invoices, and other materials created through the Platform.
- "Subscription" means a paid plan granting access to Platform features.
- "Payment Protection" means the optional escrow-like service governed by the Payment Protection Addendum.
3. Account Eligibility & Registration
- You must be 18 years or older to use the Platform.
- You must provide accurate, current information during registration.
- You must hold a valid FAA Part 107 Remote Pilot Certificate to list on the Pilot Directory.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity under your account.
- You must notify PilotLedger immediately of any unauthorized access to your account.
- PilotLedger reserves the right to suspend or terminate accounts that violate these Terms.
4. Subscription & Billing
- Plans: Pro, Pro + Directory, and Team — billed monthly, quarterly, or annually via Stripe.
- 14-day free trial for new accounts; no credit card required to start.
- Subscriptions auto-renew unless cancelled before the end of the billing period.
- You may cancel at any time; access continues through the end of the paid period.
- No prorated refunds for mid-period cancellation on monthly or quarterly plans.
- Annual plans: prorated refund available within the first 30 days only.
- PilotLedger reserves the right to change pricing with 30 days advance notice.
- Pricing changes do not affect current billing periods.
5. Your Data — Ownership & Privacy
- You own all Content you create on the Platform.
- PilotLedger does not claim ownership of your quotes, invoices, client lists, financial records, or any other Content.
- PilotLedger does not sell, share, license, or monetize your data.
- PilotLedger does not access or view your data except as required for technical support at your request, or to comply with legal process.
- Upon account closure, your data is retained for 30 calendar days, then permanently deleted.
- You may export your data at any time (quote PDFs, invoice PDFs, client records via CSV export).

6. Acceptable Use
- You agree to use the Platform lawfully and in accordance with these Terms.
- You will not use the Platform to conduct fraudulent, deceptive, or illegal activities.
- You will not attempt to access accounts or data belonging to other users.
- You will not reverse-engineer, decompile, or attempt to extract the source code of the Platform.
- You will not use automated scripts, bots, or scrapers to access the Platform.
- You will not upload malicious code, viruses, or harmful content.
- PilotLedger reserves the right to suspend accounts that violate these provisions.
7. Pilot Directory (findadronepilot.us)
- Directory listing is available with Pro + Directory and Team subscriptions.
- Listing requires a valid FAA Part 107 certificate number.
- You are responsible for the accuracy of your directory profile information.
- PilotLedger does not verify insurance, credentials, or qualifications beyond requiring a Part 107 number.
- PilotLedger may remove directory listings that contain false or misleading information.
- Clients contact you directly through the directory; PilotLedger is not a party to any resulting agreement.
8. Payment Processing & Stripe Connect
- PilotLedger uses Stripe Connect to facilitate payments between you and your clients.
- You must complete Stripe's identity verification to receive payments.
- Stripe's terms of service apply to all payment transactions.
- PilotLedger does not hold, process, or have access to your payment funds (except under Payment Protection).
- Standard Stripe processing fees apply and are borne by the receiving party.
- PilotLedger is not responsible for payment processing delays, failures, or disputes handled by Stripe.
9. Payment Protection (Escrow Service)
- Payment Protection is an optional service governed by the separate Payment Protection Addendum.
- Use of Payment Protection constitutes acceptance of the Payment Protection Addendum.
- A 2% fee is charged to the Client on Payment Protection transactions.

10. Regulatory Compliance
- You are solely responsible for maintaining FAA Part 107 certification and all required authorizations (LAANC, COAs, waivers).
- You are solely responsible for maintaining adequate commercial liability insurance.
- You are solely responsible for compliance with all applicable federal, state, and local laws and regulations.
- PilotLedger does not provide legal, regulatory, or insurance advice.
- PilotLedger is not liable for any regulatory violations by users of the Platform.
11. Intellectual Property
- PilotLedger retains all rights to the Platform software, design, branding, and documentation.
- "PilotLedger," "Find a Drone Pilot," and associated logos are trademarks of Drones Inbound LLC.
- You are granted a limited, non-exclusive, non-transferable license to use the Platform for your business purposes.
- You may not reproduce, distribute, or create derivative works from the Platform.
12. Third-Party Services
- The Platform integrates with third-party services including Stripe, email providers, and mapping services.
- PilotLedger is not responsible for the availability, accuracy, or performance of third-party services.
- Your use of third-party services is governed by their respective terms.
13. Limitation of Liability
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
PilotLedger is not liable for: drone operations, flight safety, client disputes, data loss due to user error, third-party service failures, consequential/incidental/indirect/punitive damages, or lost profits.
PilotLedger's total liability for any claim shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
This limitation applies to the fullest extent permitted by applicable law.
14. Indemnification
You agree to indemnify, defend, and hold harmless PilotLedger, Drones Inbound LLC, and its officers, employees, and agents from any claims, damages, losses, or expenses arising from: your use of the Platform, your violation of these Terms, your drone operations, your interactions with clients, or any content you create or share through the Platform.
15. Termination
- You may terminate your account at any time by cancelling your subscription and requesting account deletion.
- PilotLedger may terminate or suspend your account for violation of these Terms, with or without notice.
- Upon termination, your right to access the Platform ceases immediately.
- Sections 5, 13, 14, and 16 survive termination.
16. Dispute Resolution & Governing Law
- These Terms are governed by the laws of the State of Arkansas, without regard to conflict of law provisions.
- Any dispute arising from these Terms shall be resolved by binding arbitration in Washington County, Arkansas.
- Arbitration shall be conducted under the rules of the American Arbitration Association.
- You waive the right to participate in a class action lawsuit or class-wide arbitration.
- Small claims court actions (under $5,000) may be brought in Washington County, Arkansas without arbitration.
17. Changes to Terms
- PilotLedger reserves the right to modify these Terms at any time.
- Material changes will be communicated via email to registered accounts at least 30 days before the effective date.
- Continued use of the Platform after the effective date constitutes acceptance.
- If you do not agree to modified Terms, you must cancel your account before the effective date.

19. Severability
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
20. Entire Agreement
These Terms, together with the Privacy Policy and Payment Protection Addendum (if applicable), constitute the entire agreement between you and PilotLedger.
